Pixel develops both Windows based software for use in Photo Kiosks and
Internet applications for use by our MyPhotoLab.com online photofinishing
web site. We have a large number of open positions as we are rapidly
growing our development team. In particular we are looking for individuals
with Visual C++, HTML, or Java experience. We are also looking for
people trained in color science and implementing color management systems on
a large scale.

Pixel is a pre-IPO company that offers a competitive compensation package
including stock options.

EXECUTIVE SUMMARY
Pixel Magic Imaging ("PMI" or the "Company") is an established and
profitable digital photo imaging company with a nationwide network of photo
imaging hardware placements in retail locations. The Company has also
developed an Internet presence through MyPhotoLab.com. Additionally, PMI
partners with photo retailers to provide them with an easy-to-use and
co-branded web presence. PMI was founded in 1992, is based in San Marcos,
Texas, and has 240 employees.

PMI has a strategy designed to serve both the traditional and digital photo
consumer as well as the retail photo markets. The Companys business model
is centered on the combination of the Internet and the brick and mortar
retailer. Through its nationwide network of retail imaging systems, PMI is
uniquely positioned in the digital photography industry. PMI is able to
integrate the convenience of the Internet, through its web site,
MyPhotoLab.com, with the expertise and customer service that only a retailer
can provide.

The Company believes that while there is explosive growth taking place in
image sharing over the Internet, there are few places for consumers to order
photographic prints and specialty items while also receiving personalized
customer service from a retailer they trust. Consumers value the
convenience of sharing images over the Internet but want personalized
attention and expert advice when taking the image and re-purposing it in
order to create an a photo gift or other specialty item. This highlights
PMIs unique competitive advantage created by the combination of a brick and
mortar presence coupled with Internet imaging infrastructure and technology.
MyPhotoLab.com serves as the bridge between the online consumer and the
retail photo store by allowing consumers to order online while interacting
with a trusted local retail store.

PMIs core philosophy is to create products and technology that are
compatible, not only with each other but also with a wide variety of other
vendors products. This open architecture approach gives PMI access to a
much larger client base than a company using closed proprietary technology.
In addition, all of PMIs products are designed to connect to the Internet,
either using MyPhotoLab.com as the main upload point or integrating with
another companys Internet infrastructure.

PMI plans to aggressively expand its network of placements and integrate
them through its web site. Most online photography companies are pursuing
only a narrow segment of the consumer market and are not pursuing the
hardware aspect of the business. PMI believes that by leveraging its
established hardware base, it will not be forced to pursue a pure consumer
marketing approach requiring significant expenditures to build brand
awareness with no guarantee of market share.

PMI has three key retail product offerings: Photo Ditto Copy & Enhancement
System, Digital Print Station and Backlab Film Scanning & Internet Upload
System. Currently, PMI has several thousand kiosks installed across the
country with an aggressive placement program underway to accelerate
installations and Internet connectivity.

The Company is integrating its retail product offerings with MyPhotolab.com,
its online photo finishing infrastructure. PMI believes that MyPhotolab.com
is a powerful strategic advantage over many "photo.com" sites which offer
limited services designed to be delivered exclusively over the Internet.
MyPhotoLab.com offers the ability for consumers to order a variety of photo
products at home by utilizing the Internet or at their local photo retailer
by using a photo kiosk that is connected to MyPhotoLab.com. MyPhotoLab.com
is designed for full integration with our established customer base.

Within another segment of its business, First Impressions, PMI has partnered
with 30 large birthing hospitals to take digital pictures of newborn babies.
Parents may order First Impressions pictures as well as specialized items,
including birth announcements, ornaments and other mementos. Family and
friends may also view and order pictures of the newborn on the Internet.
First Impressions photographed 114,000 babies in 1999 and expects to double
that number in the year 2000.

PMIs strategic advantage lies in its relationships with retailers and using
its kiosks as on-ramps for connecting to MyPhotoLab.com. PMI will
leverage its existing relationships with independent photo retailers, chain
stores, and other clients through its nationwide network of photo kiosks.
This network of photo kiosks includes several PMI clients such as Eckerd
Drug, Meijer, and Carnival Cruiselines. The kiosks placed in these retail
chains are Internet enabled and may be connected to MyPhotoLab.com in the
near future. PMI has begun implementing its Retail Partner Program, a
program whereby PMI works with existing photo retailers and provides free
co-branded MyPhotoLab.com web sites and new product offerings in exchange
for the retailers exclusive relationship with MyPhotoLab.com.
